Senior Paralegal
Location: On-Site
Schedule: Monday-Friday, 8:00 AM-5:00 PM
Salary Range: $115,000-$130,000 annually
Position Overview
We are seeking an experienced and highly motivated Senior Paralegal to join our in-house legal team at a growing medical device company. This role will be a key contributor to the organization's legal, compliance, corporate governance, and contract management functions. The ideal candidate is exceptionally detail-oriented, capable of working independently, and brings substantial experience managing contracts through the full lifecycle in a highly regulated healthcare environment.
This position offers the opportunity to work closely with executive leadership, business stakeholders, and the Chief Legal Officer while supporting critical legal operations and compliance initiatives.
Key Responsibilities
Contract Management
- Own and manage the company's contract management process from initiation through execution, renewal, and archival.
- Establish and administer the Contract Lifecycle Management (CLM) system, including system configuration, contract database development, reporting, and workflow management.
- Manage contract signature processes utilizing tools such as DocuSign.
- Draft, review, and support negotiations of commercial agreements, including:
- Non-Disclosure Agreements (NDAs)
- Master Services Agreements (MSAs)
- Vendor Agreements
- Other commercial contracts
- Serve as a liaison between legal, leadership, and business teams regarding contract-related matters.
Corporate Governance & Compliance
- Assist with Board of Directors and committee meeting preparation, including agenda coordination, board materials, board portal administration, and minute-taking.
- Support compliance programs related to applicable federal and state healthcare regulations, including:
- HIPAA
- Anti-Kickback Statute
- FDA regulations
- AdvaMed Code of Ethics
- Manage and coordinate state and federal compliance filings.
- Assist with the preparation of SEC filings, including periodic reports and Section 16 filings.
- Support preparation of the annual proxy statement and execution of the annual stockholder meeting.
Legal Operations & Administrative Support
- Conduct legal research and provide analysis on a variety of legal and regulatory matters.
- Maintain legal records, corporate documents, and regulatory filings.
- Assist the Finance team with stock administration and equity-related matters.
- Provide support for intellectual property-related projects and administration.
- Develop, improve, and document legal department processes and workflows to increase efficiency and scalability.
- Support special projects and other legal initiatives as assigned.
Qualifications
Education
- Bachelor's Degree required.
- Paralegal Certificate from an ABA-approved program strongly preferred.
- Certified Paralegal (CP) or Advanced Certified Paralegal (ACP) designation preferred.
Experience
- Minimum 7+ years of paralegal experience.
- Minimum 3+ years of experience in a public medical device, biotechnology, life sciences, or healthcare organization.
- Prior in-house legal department experience required.
- Experience supporting publicly traded companies preferred.
- Strong experience with contract management systems and board portal platforms required.
- Experience with equity administration platforms is a plus.
- Prior law firm experience, particularly with a top-tier firm, is a plus.
- Working knowledge of FDA, HIPAA, and healthcare regulatory requirements.
